1. Introduction and Acceptance

1.1 These Terms of Service (“Terms”) govern your access to and use of the Figr website, applications, and services (collectively, the “Services”) operated by the applicable Figr entity as described in Section 16 (the “Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. 1.2 If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization. 1.3 If you do not agree to these Terms, you must not access or use the Services.

2. Contracting Entity

Your agreement is with the following entity based on your location: 2.1 If you are located in the United States: Figr Design Inc., a Delaware corporation, with offices at 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex, USA. 2.2 If you are located outside the United States: Figrfast Systems Private Limited, a company registered in India, with offices at HD-301, WeWork Embassy TechVillage, Bellandur, Bengaluru, Karnataka 560103, India. 2.3 References to “Figr,” “Company,” “we,” “us,” or “our” in these Terms refer to the applicable contracting entity based on your location.

3. Eligibility

3.1 You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. 3.2 If you are using the Services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Description of Services

4.1 Figr provides an AI-powered design platform that helps product teams create prototypes, PRDs, user flows, diagrams, and other design outputs. The Services include:
  • Web application accessible at figr.design
  • Chrome browser extension for capturing web interfaces
  • Figma Plugin for importing/creating design systems
  • AI-generated outputs including prototypes, PRDs, user flows, and diagrams
  • Third-party integrations (including current and future integrations with tools such as Notion, Jira, Slack, and others)
4.2 Figr reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

5. Account Registration

5.1 To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. 5.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account. 5.3 You may not share your account credentials with others or allow others to access your account, except as expressly permitted under your subscription plan for authorized team members.

6. Subscription Plans and Credits

6.1 Plan Types

Figr offers the following types of plans:
  • Free Plan: Limited access to the Services with restricted features and usage limits.
  • Paid Plans: Enhanced access to the Services with additional features and higher usage limits.
  • Enterprise Plans: Custom plans for organizations with specific requirements, including dedicated support and custom terms.

6.2 Credits

6.2.1 The Services operate on a credit-based usage model. Credits are units of platform usage that measure processing and output generation. Credit consumption varies based on task complexity. One Credit approximates one hour of a designer’s time for typical tasks. 6.2.2 Each plan includes a monthly allocation of Credits as specified at the time of purchase or as displayed in your account dashboard. 6.2.3 Unused Credits roll over to the following month, up to a maximum of your monthly allocation amount. Credits exceeding this cap expire at the end of each billing period and are not refundable. 6.2.4 Detailed information about Credit usage is available at

6.3 Billing and Payment

6.3.1 Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Payment is processed through our third-party payment processors. 6.3.2 All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. 6.3.3 We reserve the right to change our pricing at any time. Price changes for existing subscribers will take effect at the next renewal period, and we will provide at least 30 days’ notice of any price increase.

6.4 Automatic Renewal

6.4.1 Paid subscriptions automatically renew for successive periods equal to your initial subscription period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period. 6.4.2 You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date. 6.4.3 FOR USERS IN CALIFORNIA AND OTHER JURISDICTIONS WITH AUTO-RENEWAL LAWS: By subscribing to a paid plan, you acknowledge and agree that your subscription will automatically renew and you authorize us to charge your payment method for each renewal period until you cancel. You may cancel at any time to stop future charges.

7. Your Data and Privacy

7.1 Data You Provide

7.1.1 You may voluntarily provide data to the Services to enhance the quality of outputs, including but not limited to: design systems imported via the Figma Plugin, screen recordings, product context, uploaded files, and other inputs (“Your Data”). 7.1.2 You retain all ownership rights in Your Data. By providing Your Data to the Services, you grant Figr a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing the Services to you.

7.2 No AI Training on Your Data

We want to be absolutely clear about how we handle Your Data:
  • Your Data is NOT used to train our AI models.
  • Your Data is NOT sold to third parties.
  • Your Data is NOT shared with other users or customers.
  • Your Data is NOT traded or exchanged with any external parties.
7.2.1 Your Data is strictly isolated and used solely to provide the Services to you. We implement appropriate technical and organizational measures to maintain this isolation.

7.3 Third-Party Integrations

7.3.1 When you connect third-party services to Figr (such as Figma, Notion, Jira, Slack, or other integrations), you authorize us to access and process data from those services as necessary to provide the integrated functionality. Your use of third-party services is subject to their respective terms and privacy policies. 7.3.2 Data obtained through third-party integrations is treated with the same protections as Your Data and is not used for AI training, sold, shared, or traded.

7.4 Data Retention and Deletion

7.4.1 We retain Your Data for as long as your account is active or as needed to provide the Services. Upon account deletion, Figr may retain Your Data for up to 60 days before permanent deletion, unless longer retention is required by law. 7.4.2 You may request export of Your Data at any time by contacting us at [email protected]. We will provide your data in a reasonable format and timeframe.

7.5 Anonymized and Aggregated Data

7.5.1 We may collect and use anonymized and aggregated data that does not identify you or any individual user for purposes such as improving the Services, conducting research, and publishing performance benchmarks. Such anonymized data is not considered Your Data.

8. Acceptable Use

8.1 You may use the Services for your internal business purposes in accordance with these Terms. You agree not to:
  • Use the Services to violate any applicable law or regulation.
  • Use the Services to infringe the intellectual property rights of any third party.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Use the Services to transmit malware, viruses, or other malicious code.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Use automated means (bots, scrapers, etc.) to access the Services except as expressly permitted.
  • Resell, redistribute, or sublicense access to the Services without our prior written consent.
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services.
  • Use outputs generated by the Services to directly compete with Figr’s business.
8.2 You are responsible for all content and data you submit to the Services and for ensuring you have all necessary rights and permissions to use such content.

9. Intellectual Property

9.1 Figr’s Intellectual Property

9.1.1 The Services, including all software, designs, text, graphics, logos, and other content provided by Figr, are owned by Figr or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. 9.1.2 You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of any software, except as permitted by law or with our prior written consent.

9.2 Your Intellectual Property

9.2.1 You retain all ownership rights in Your Data and any content you create using the Services. Figr claims no ownership over outputs generated by the Services based on Your Data.

9.3 Feedback

9.3.1 If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

9.4 Third-Party Trademarks

9.4.1 All trademarks of third-party applications or companies displayed within the Services belong to their respective owners. Figr displays these for reference purposes only. Users who utilize third-party trademarks in their outputs do so at their own risk and are advised against commercial use without obtaining permission from the trademark owner.

10. AI-Generated Outputs

10.1 The Services use artificial intelligence to generate design outputs, including prototypes, PRDs, user flows, diagrams, and other content (“AI Outputs”). You acknowledge and agree that:
  • AI Outputs may contain errors, inaccuracies, or inconsistencies. You are solely responsible for reviewing, validating, and verifying all AI Outputs before use.
  • AI Outputs are provided as tools to assist your work, not as professional design, legal, or business advice.
  • Figr does not guarantee that AI Outputs will meet specific requirements, be error-free, or be suitable for any particular purpose.
  • Figr does not guarantee that AI Outputs will comply with accessibility standards (such as WCAG), legal requirements, or industry regulations. You are responsible for ensuring compliance.
  • Similar inputs may produce different outputs at different times due to the nature of AI systems.
10.2 You assume all risk associated with your use of AI Outputs, including any decisions made or actions taken based on such outputs.

11. Disclaimer of Warranties

11.1 THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 11.2 FIGR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FIGR DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. 11.3 FIGR MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR AI OUTPUTS GENERATED THROUGH THE SERVICES. 11.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, FIGR’S WARRANTIES ARE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIGR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. 12.2 FIGR’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO FIGR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). 12.3 THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF FIGR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 12.4 SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

13.1 You agree to indemnify, defend, and hold harmless Figr and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  • Your breach of these Terms.
  • Your use of the Services.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party rights, including intellectual property rights.
  • Your Data or any content you submit to the Services.
13.2 Figr reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

14. Termination

14.1 You may terminate your account at any time by contacting us at [email protected] or through your account settings. Termination will take effect at the end of your current billing period for paid subscriptions. 14.2 Figr may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or non-payment. 14.3 Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 7 (Your Data and Privacy), 9 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law and Dispute Resolution). 14.4 In cases of termination by Figr without cause, Figr will provide a prorated refund for any prepaid fees for the remaining subscription period. In cases of termination for cause due to your breach of these Terms, no refund will be provided.

15. Modifications to Terms

15.1 Figr reserves the right to modify these Terms at any time. We will notify registered users of material changes by email or through the Services at least 14 days before the changes take effect. 15.2 For users with active subscriptions, modified Terms will apply from the next renewal date following the effective date of the changes. 15.3 Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and cancel your subscription. 15.4 Non-registered users should review these Terms regularly, as the most current version will apply to their use of the Services.

16. Governing Law and Dispute Resolution

16.1 For Users Contracting with Figr Design Inc. (United States)

16.1.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. 16.1.2 Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the language of the arbitration shall be English. 16.1.3 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

16.2 For Users Contracting with Figrfast Systems Private Limited (Outside United States)

16.2.1 These Terms shall be governed by and construed in accordance with the laws of India. 16.2.2 The parties shall attempt to resolve any disputes through good faith negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

17. General Provisions

17.1 Entire Agreement: These Terms, together with any Order Forms or other agreements incorporated by reference, constitute the entire agreement between you and Figr regarding the Services and supersede all prior agreements and understandings. 17.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. 17.3 Waiver: Figr’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 17.4 Assignment: You may not assign or transfer these Terms or your rights under these Terms without Figr’s prior written consent. Figr may assign these Terms without restriction. 17.5 Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, or cyberattacks. 17.6 Language: These Terms are written in English. Any translations are provided for convenience only, and the English version shall control in case of any conflict.
